NORTHSTAR ONBOARDTM

Terms of Use
Owned, Operated and Provided by Raynbo Development LLC

1. Acceptance of These Terms

These Terms of Use (’Terms’) govern your access to and use of the NorthStar OnboardTM platform (the ’Platform’), which is owned, operated and by Raynbo Development LLC (’Raynbo Development,’ ’we,’ ’us’). By clicking to accept these Terms, creating an account, or otherwise accessing or using the Platform, you agree to these Terms. If you do not agree, do not access or use the Platform.

1.1 If you use the Platform on behalf of a customer organization (a ’Customer Organization’), you represent that you are authorized to do so. The Customer Organization’s use of the Platform is also governed by its Master SaaS Agreement (NSGF-303) with Raynbo Development. If these Terms conflict with that agreement, the Master SaaS Agreement controls as to the Customer Organization; these Terms govern your individual use of the Platform.

1.2 Our handling of personal information is described in the Privacy Policy (NSGF-301), which is incorporated into these Terms by reference.

2. Definitions

Platform. means NorthStar OnboardTM and its related features, workflows, and content.
User. means any individual who accesses or uses the Platform, including Vendor Personnel, Visitors,

Volunteers, Employee (Workforce Personnel), and Customer Organization administrators.

Customer Organization. means the organization that has contracted with Raynbo Development to use the Platform and on whose behalf a User may act.

User Content. means information a User submits to the Platform, including identity, business, credentialing, and governance information.

3. Eligibility and Accounts

3.1 You may use the Platform only if you are authorized by a Customer Organization and only for the

governance purposes for which access is provided.

3.2 You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us or your Customer Organization promptly of any unauthorized use.

3.3 You may not share your credentials, use another person’s account, or allow others to use your account.

4. Minors

4.1 The Platform is intended for use by adults acting in an organizational capacity. Individuals under 18

may not create an account or accept these Terms on their own behalf.

4.2 Where a governed individual may be a minor (for example, a minor Volunteer or Visitor), that individual may be registered only by the Customer Organization, which is responsible for obtaining any required parental or guardian authorization and for supervising the minor’s involvement. Raynbo Development does not knowingly permit children to create accounts or use the Platform directly.

5. Acceptable Use

You agree not to:

●  Submit false, misleading, or fraudulent information, including false self-certifications.

●  Access or attempt to access accounts, data, or areas of the Platform you are not authorized to

use.

●  Interfere with, disrupt, or attempt to compromise the security or integrity of the Platform.

●  Reverse engineer, decompile, scrape, or copy the Platform except as permitted by law.

●  Use the Platform to violate any applicable law or the rights of others.

●  Use the Platform in any manner that could harm minors or facilitate unauthorized access to a

facility.

Additional acceptable-use requirements may be set out in the Acceptable Use Policy (NSGF-306).

6. User Responsibilities and Self-Certification

6.1 You are responsible for the accuracy of the information you submit. Where the Platform requires self-certification (for example, of background-screening or fingerprinting status), you certify that your responses are true and complete to the best of your knowledge.

6.2 You acknowledge that false or misleading information may result in denial or revocation of access, removal from the Platform, and other consequences under the Customer Organization’s policies or applicable law.

7. Governance and Human Authorization

7.1 The Platform supports pre-authorization governance workflows. Authorization, credentialing, and access decisions are made by the Customer Organization’s authorized personnel through human review. The Platform does not automatically issue or renew credentials, and using the Platform does not itself grant, guarantee, or entitle you to access any facility.

8. Privacy

Information you submit is handled as described in the Privacy Policy (NSGF-301). For information, the Platform processes on behalf of a Customer Organization, that organization determines how the information is used, and Raynbo Development acts as its service provider.

9. Intellectual Property

9.1 The Platform, including its software, design, content, and the names, logos, and marks NorthStar OnboardTM and NorthStar Governance FrameworkTM and related marks, is owned by Raynbo Development LLC and protected by intellectual property laws. Nothing in these Terms transfers any ownership to you.

9.2 Subject to these Terms, Raynbo Development grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for authorized governance purposes. You may not use our names or marks without prior written permission.

10. User Content

10.1 As between you and Raynbo Development, User Content submitted on behalf of a Customer Organization is controlled by that Customer Organization. You grant Raynbo Development the rights necessary to process User Content to operate and provide the Platform, consistent with the Privacy Policy and the Master SaaS Agreement.

10.2 You represent that you have the authority to submit any User Content you provide and that it does not violate any law or third-party right.

11. Third-Party Integrations

The Platform may integrate with systems or services chosen by a Customer Organization. Raynbo Development is not responsible for third-party systems, their content, or their handling of information after it leaves the Platform at the Customer Organization’s direction. Your use of any third-party service is governed by that provider’s own terms.

12. Availability, Changes, and Suspension

12.1 We may modify, update, or discontinue features of the Platform from time to time. Service-level commitments to Customer Organizations, if any, are set out in the Master SaaS Agreement and are not extended to individual Users by these Terms.

12.2 We may suspend or terminate your access to the Platform if you violate these Terms, if directed by your Customer Organization, or as necessary to protect the Platform or others. Your Customer Organization controls whether your access continues.

13. Disclaimers

13.1 The Platform is an administrative governance and record-keeping tool that supports pre- authorization workflows. It does not itself grant, deny, or physically control access to any facility; it does not provide security, law-enforcement, or investigative services; and it does not independently verify the truth of information submitted by Users or the results of background checks or fingerprinting conducted by third parties. All authorization and access decisions rest with the Customer Organization’s

authorized personnel, and facility access remains subject to the Customer Organization’s policies and on-site controls.

13.2 To the maximum extent permitted by law, the Platform is provided ’as is’ and ’as available’ without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

14. Limitation of Liability

14.1 To the maximum extent permitted by law, Raynbo Development will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, or goodwill, arising out of or relating to your use of the Platform.

14.2 To the maximum extent permitted by law, Raynbo Development’s total liability to an individual User under these Terms will not exceed the greater of one hundred U.S. dollars ($100) or the amounts, if any, you paid to Raynbo Development. Liability to a Customer Organization is governed separately by the Master SaaS Agreement.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Raynbo Development from claims, damages, and expenses arising out of your misuse of the Platform, your violation of these Terms, or your submission of information you were not authorized to provide. This section does not require any governmental or public entity to provide indemnification beyond what applicable law permits.

16. Term and Termination

These Terms apply when you access or use the Platform. We or your Customer Organization may terminate or suspend your access at any time as described in Section 12. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive.

17. Governing Law and Dispute Resolution

17.1 These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-

laws principles.

17.2 Before filing any claim, you agree to first contact us and attempt in good faith to resolve the dispute informally for at least forty-five (45) days after written notice.

17.3 Any dispute not resolved informally will be brought exclusively in the state or federal courts located in East Baton Rouge Parish, Louisiana, and you consent to the jurisdiction of those courts. These Terms do not require binding arbitration, and nothing in these Terms requires a governmental or public entity to agree to any term inconsistent with applicable law governing that entity.

18. Changes to These Terms

We may update these Terms from time to time. The current version, with its effective date, will be available on the Platform. For material changes, we will provide notice through the Platform or other appropriate means. Your continued use of the Platform after the effective date indicates your acceptance of the updated Terms.

19. General Provisions

19.1 Entire Agreement. These Terms, together with the Privacy Policy and any applicable Master SaaS Agreement, are the entire agreement between you and Raynbo Development regarding your use of the Platform.

19.2 Order of Precedence. For a Customer Organization and its authorized Users, the Master SaaS Agreement (NSGF-303) controls over these Terms in the event of a conflict; these Terms govern individual use not addressed by that agreement.

19.3 Severability; No Waiver; Assignment. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
